A WFOE is the widely used name for a China company wholly owned by one or more foreign investors. Under the current legal framework, it is normally registered as a foreign-invested limited liability company under the Foreign Investment Law and Company Law.

It can enter contracts, generate revenue, hire employees and issue Chinese tax invoices after the relevant registrations are complete, provided it operates within its approved business scope.

Is a wholly foreign-owned enterprise (WFOE) in China right for you?

A WFOE is often the strongest option when you need an independent operating company in mainland China and full foreign ownership is permitted in your sector. It may suit a foreign company or entrepreneur that wants to:

  • sign contracts and receive revenue through a mainland China entity
  • hire local employees directly and sponsor eligible foreign employees
  • control the company without sharing equity with a Chinese partner
  • provide services, trade goods or manufacture in China, subject to the relevant licenses
  • build a long-term presence with local banking, accounting, payroll and tax compliance

A WFOE is not automatically the best first step. If you only need market research and liaison, a representative office may be sufficient. If your sector requires Chinese participation or a local partner brings essential assets, a joint venture may be more appropriate. Key decisions before you register a wholly foreign-owned enterprise in China

Market access and business scope

Full foreign ownership is generally available in sectors not restricted or prohibited by the applicable foreign investment negative list. The business scope must also reflect what the company will actually sell, deliver, import, export or manufacture. A scope that is too narrow can restrict operations. A scope that is too broad can delay registration or trigger licensing questions.

Registered capital and funding plan

Most general industries do not have one national minimum registered-capital figure, although regulated sectors may impose specific requirements. For a limited liability company established under the revised Company Law, subscribed capital must generally be contributed within the period stated in the articles of association and within five years of establishment. The amount should therefore be based on a realistic operating budget, not chosen as a cosmetic figure.

Shareholder and holding structure

A WFOE may be owned by an overseas company, an eligible foreign individual or more than one foreign investor. Some groups invest directly from the operating parent, while others use a Hong Kong or other holding company. The choice affects documentation, bank due diligence, tax, future financing, profit distribution and exit planning.

Registered address and city

The company needs an address acceptable for registration and suitable for its intended activities. The city and district can affect lease requirements, local authority practice, industry licensing, employment administration and access to incentives. Governance and control

The articles of association, legal representative, directors, managers and oversight arrangements should match the way the business will be governed in practice. Company chop custody, bank mandates and approval limits should also be designed before operations start because these controls determine who can bind the company and move funds.

Documents commonly required for a WFOE registration process

The exact checklist depends on the investor, city, business activity and bank. A standard case commonly includes:

  • certificate of incorporation or passport documents for each investor
  • ownership and ultimate beneficial owner information
  • investor resolutions and authorized signatory documents
  • identification and appointment documents for the legal representative and other key roles
  • proposed articles of association, company name, business scope and capital plan
  • registered-address evidence and lease documents
  • sector approvals or license materials where required
  • bank due diligence, source-of-funds and business-plan information

How long does WFOE registration take?

For planning purposes, a standard business-license phase may take approximately 4 to 8 weeks after the complete, filing-ready documents and address are available.

This is not a government processing guarantee. Document authentication, regulated activities, lease issues and bank due diligence can extend the full operational setup.

Ongoing compliance after registration

The company has compliance obligations from establishment, even before it earns revenue. These commonly include bookkeeping, tax filings, annual market-entity reporting, foreign investment reporting, payroll and social insurance, maintenance of statutory records, registered-capital tracking and updates when shareholders, officers, address or business scope change. Regulated activities may add license renewals or specialist reporting.

Yes, in sectors where full foreign ownership is allowed. The intended activities must be checked against the current foreign investment negative list, the general market-access list and any sector-specific licensing rules.

There is no single national minimum for most general business activities, but regulated sectors may set one. The amount must be commercially credible and capable of being contributed within the applicable Company Law period.
