Foreign company branch registration in China
The phrase branch office can describe two different structures in mainland China. A branch of a China-registered company is a common domestic expansion vehicle.
A direct branch of an overseas company is contemplated by the Company Law, but it requires approval by the competent authorities before registration and is not a general-purpose alternative available for every foreign business.

Branch of a China-registered company
A WFOE, joint venture or other China-registered enterprise may establish a branch in another district or city. The branch receives its own business license but does not have separate legal-person status. Its China head office bears the civil liabilities and the branch generally operates within the head office’s business scope, subject to local registration and licensing.
Direct branch of an overseas company
The Company Law allows a foreign company to establish a branch in China to conduct approved production or business activities. The foreign company must first apply to the competent authorities, then register the approved branch. The branch has no Chinese legal-person status, and the overseas parent bears civil liability for its China activities.
Because the approval route and operating conditions depend on sector-specific rules, a direct foreign-company branch is generally a specialist structure rather than the default route for an ordinary service, trading or manufacturing business. The legal pathway should be confirmed with the relevant authorities before an application is prepared.
When a branch office may be suitable

When a WFOE or representative office may be better
A WFOE is usually the more practical route when an overseas company wants a broadly available, locally incorporated operating subsidiary with limited liability.
A representative office may fit when the objective is limited to non-profit market research, promotion and liaison. Neither should be selected based only on setup cost. Revenue, liability, licensing, employment, tax and future expansion should drive the decision.
Key decisions to make before a branch office registration
Eligibility and approval authority
The first question is whether the planned branch is a domestic branch of a China company or a direct branch of a foreign company. For a direct branch, the sector regulator, approval basis and market-registration authority should be identified before a timeline or fixed scope is proposed.
Parent-company liability
A branch is not a liability ring-fence. The China head office or overseas parent, depending on the structure, bears the branch’s civil liabilities. Contracting, insurance, group guarantees and dispute planning should reflect that exposure.
Business scope and licenses
The branch cannot be treated as an unrelated new business. Its activity must fit the parent or head office scope and any sector approval. A branch operating in another city may also need local permits, filings or premises that meet industry requirements.
Tax, accounting and profit allocation
Branches need tax registration and accounting records appropriate to their structure and activity. A domestic branch may be accounted for through its China head office under applicable tax rules, while a direct foreign branch can create non-resident-enterprise and permanent-establishment issues. The tax model should be confirmed before contracts are signed.
Staffing and immigration
The employing entity, payroll location, social-insurance registration and work-permit sponsor must align with the approved branch structure. A branch license by itself does not resolve every employment or immigration requirement.

A domestic branch of an existing China company may often be registered within several weeks after the complete documents and address are ready. A direct foreign-company branch cannot be given a reliable generic timeline until the approval basis and regulator are confirmed. As a planning estimate, allow at least 4 to 8 weeks for a straightforward eligible case, with longer lead times for regulated industries, foreign document authentication and bank onboarding.
