Compare private limited, subsidiary, branch, partnership, and more to choose the right path.
Private limited company (Pte Ltd)
The standard for most businesses in Singapore. Limited liability for up to 50 shareholders. Individuals and corporate shareholders are both allowed. An exempt private company is limited to 20 individual shareholders.
Public limited company
Designed for larger businesses that may raise funds from the public and list on an exchange. No limit on shareholders and subject to stricter rules. There is also a public company limited by guarantee for non‑profits.
Subsidiary company
A locally incorporated private limited company whose shares are majority‑owned by a foreign or local parent. Treated as a Singapore company separate from the parent, which limits the parent’s liability. 100 percent foreign ownership is allowed.
Partnerships
Formed by two or more people. Not a separate legal entity and can be dissolved by partner actions or events. Useful for professional practices. Options include general partnership, limited partnership, and limited liability partnership.
Sole proprietorship
Simplest structure, not legally separate from the owner. The owner has unlimited liability and personal assets are exposed to business risks.
Branch office
An extension of a foreign company that conducts the same business activities as the parent. Taxed on Singapore‑sourced income. The foreign parent remains liable for branch actions.
Representative office
A temporary setup for market research or feasibility studies. Not permitted to earn revenue or sign contracts.
