Can a non-resident own a Hong Kong company and be a director?
Yes. 100 percent foreign ownership is allowed. At least one director is required and at least one director must be a natural person. There is no local director requirement. You must appoint a Hong Kong company secretary and keep a registered office in Hong Kong.
Is there a minimum share capital and what currency can I use?
There is no statutory minimum capital. Many companies start with one share. Share capital can be denominated in Hong Kong dollars or another major currency and can be increased later.
What do I need to incorporate and how long does it take?
You need a company name, Articles of Association, details and KYC for directors and shareholders, a Hong Kong registered office, and a company secretary. Once documents are signed and KYC is cleared, e-incorporation and Business Registration are usually completed within a few working days.
What are the ongoing compliance requirements?
Keep statutory registers, including the Significant Controllers Register, file the annual return, renew Business Registration, maintain proper accounting records, and arrange an annual audit by a Hong Kong CPA. Submit Profits Tax returns and employer filings on time and notify the authorities of any changes to company particulars.
